    New products are covered by a Wiautomation warranty of 12 months from the delivery date, the refurbished products are guaranteed for 6 months by Wiautomation. If the item is not as described, you will have a full refund including all shipping costs. If the item is lost or damaged in transit will be refunded only in case of insurance. Whenever the User intends to make use of the remedies provided by the legal guarantee provided with the Products, the User shall contact the Holder at the email address info@wiautomation.com. The Holder shall promptly reply to the communication of the alleged lack of conformity and shall indicate to the User the specific procedure to be followed, taking into account the category of goods relating to the Product, and / or the alleged defect.



    GUARANTEE VOID

    The tampering, unauthorized removal, failure unfollow of the user instructions, the use of a different voltage from that prescribed, the fitting of non-genuine parts or do not comply with the technical specifications, failures for improper use of the device, the repair attempt by unqualified personnel, the damage caused by natural disasters and not (lightning, fire, flooding, vandalism, etc.), will void warranty.     TERMS AND CONDITIONS

    WiAutomation (World Industrial Automation) provides all users with the ability to access and use the website wiautomation.com that the Holder exclusively owns, that offers ecommerce automation industrial and marine products. Please read these terms and conditions (hereinafter the “Terms”) before using the Website. By using the Website, the User accepts the Terms and agrees to comply with them. The User may not use the Website without accepting the Terms. The Holder may amend or merely update, wholly or in part, these Terms. Such amendments and updates to the Terms will become binding once published on the Website. The User is therefore invited to review the Terms at each access to the Website and is recommended to print a copy of the Terms for future reference. WiAutomation (WIA) is an independent distributor of surplus industrial automation and networking equipment. We are not an Authorized Distributor or in any way affiliated with manufacturers listed on our website.

    WiAutomation (WIA) sells, also online through the ecommerce platform ("Platform") hosted on the wiautomation.com website ("Site"), components and products, both new and refurbished, for industrial automation systems / machines and plants. presented and advertised on the Site specifically requested by the customer and obtained upon request for a quote ("Products"), as well as software that can be downloaded from the link sent by email ("Digital content").

    THE CUSTOMERS OF THE SITE ("CUSTOMER / S") ARE ENTITIES WITH A VAT NUMBER (B2B SALES CHANNEL) AND, RESIDUAL AND EXCEPTIONALLY, END CONSUMERS (B2C SALES CHANNEL, "CONSUMER / S").

    Scope and contractual documents. Applicable law.

    The CONDITIONS - published, made available and downloadable from the Site - APPLY TO ALL PURCHASE CONTRACTS CONCLUDED BY CUSTOMERS THROUGH THE SITE AND THE PLATFORM AND BY EMAIL EXCHANGE BETWEEN THE CUSTOMER AND WIAUTOMATION ("CONTRACTS / O"), with prevalence on any other agreement, even if contained in any general conditions of purchase of the Customer.

    Each Contract is therefore understood to be governed (i) by the Conditions and (ii) by the order placed through the Site or by email ("Order"), if and as confirmed in the WiAutomation order confirmation.

    In any case, Italian law will be applied.



    REGISTRATION

    Registration In order to use some Website features, Users could be register by providing, in a truthful and exhaustive manner, all the information requested in the relevant registration form and accept, in their entirety, both the privacy policy ( https://wiautomation.com/cookie-policy) and these Terms. The User is responsible of keeping login credentials secure. It shall be understood that under no circumstances the Holder may be responsible for any loss, disclosure, theft or unauthorised use by third parties, for whatever reason, of Users credentials. Account cancellation and closing Registered Users can, at any time, stop using the Products and can disable their account or request its cancellation through the Website interface, if possible, or by contacting the Holder at the email address info@wiautomation.com. In case of violation by the User of these Terms or the applicable legal provisions, the Holder has the right to suspend or cancel the User’s account at any time and without notice.



    ORDERS

    All orders are processed and shipped within 24-48 hours for products in stock after verification of payment, otherwise if at the time of the order the units in stock will be finished, the products will be ordered and the times may be subject to delays that do not depend on wiautomation (delays of the manufacturer / supplier), in any case the orders will be analyzed on a case-by-case basis to always find the best solution for the customer. Exceptions are products that already have the label "on order" on the product page and that generally require longer times (backorder), unless otherwise agreed by phone / e-mail with the customer.

    For orders of multiple products that are present in several of our international warehouses delivery times vary from 2 to 10 working days to allow us to collect everything for shipping.

    For products with the label "available to order", the supply times may vary according to the manufacturer's times, in any case if the customer proceeds with the purchase, Parcop s.r.l. / wiautomation reserves the right to refuse refunds because such products are promptly ordered from the manufacturer / supplier without any possibility of return.

    To offer fast solutions for some products on order (back-order), WiAutomation can offer the rush-service solution, the customer will have the possibility to choose to pay a different amount to receive the product in less time or wait for the manufacturer's standard times. /supplier.

    Shipments will be from Monday to Friday, 9 am - 6 pm CET. Shipments will not be made outside of these hours. WIAutomation accept as payment methods Bank Transfer, PayPal and credit cards via Stripe.

    Once your order is shipped, you will receive a shipping confirmation email with a tracking number. If the purchased goods is not available in our warehouse, you will receive an email notification.

    WiAutomation shall not be responsible for any orders that were given the wrong address.

    The Holder undertakes to describe and to present the Products sold on the Website to the best of his abilities. Nonetheless, some mistakes, inaccuracies or minor differences between the Website and the actual Product may occur. In addition, any picture of the Products which may be found on the Website does not constitute a contractual element, but merely provides a visual representation of the Product. The Products, prices and conditions of sale of the Products, subject to availability, do not constitute a public offer; therefore, they should always be considered as approximate and subject to confirmation by the Holder either via e-mail or through the order confirmation page, subject to availability of the chosen Product. The User expressly confers to the Holder the right to accept, wholly or in part, the order (for example if not all of the ordered Products are available). In this case, the contract will only be completed with regard to the Products which are actually sold. The Holder retains the right to change, at any time, the price of the Products and any related shipping charges. It shall be understood that any changes will not apply to contracts already concluded before such modifications. Any other tax and/or shipping cost borne by the User will be displayed prior to order confirmation. By completing an order the customer agrees that it is responsible for all taxes and fees, taxes or similar charges (including VAT). WiAutomation is not responsible for any duties, taxes or brokerage fees applied to your package. You will be responsible for payment of charges for customs clearance. The declared value is corresponding to the price paid. If your parcel is refused or withdrawn, you will be responsible for shipping charges and any tax or duty that will be charged by the courier. If the package cannot be delivered and will returned to WiAutomation, the return shipping cost of the goods plus the total charges will be deducted from your merchandise refund. The payment methods to purchase the Products will be displayed on the Website at the time of purchase. The Website makes use of payment services provided by third-parties and it does not receive nor process any payment details provided by Users (credit card number, name of holder, pin, etc.). In the event that the above third-party payment services refuse to authorise a payment, the Holder will not be able to provide the Products and may not be held responsible for any delay or failure in their delivery.

    CANCELLATION OF ORDERS - DELAYS

    WiAutomation is exceptionally available to accept without charge the cancellation of the Order requested by the Customer by email (sent to sales@wiautomation.com), provided that (i) WiAutomation has not started the preparation of the Order and, in any case, ( ii) the Product has not been shipped and, in any case, (iii) it is not a Backorder (communicated to the customer).

    The cancellation and refund of the price paid take place in accordance with the instructions that will be provided, from time to time, by WiAutomation.

    In any other case, THE CUSTOMER'S REQUEST TO CANCEL THE ORDER WILL BE ASSESSED BY WIAUTOMATION WHICH, CASE BY CASE, AT ITS DISCRETION, MAY REFUSE OR ACCEPT THE CANCELLATION, ESTABLISHING THE CONDITIONS AND CHARGING THE CUSTOMER (i) the contribution for the management administrative and (ii) transport costs, customs duties and collection and currency exchange fees that may have already been incurred by WiAutomation in relation to the canceled Order.

    WiAutomation will notify the customer by email communication if there are delays for orders of products not in stock, then to be ordered from the manufacturer. Wiautomation will wait for a response from the customer, if the response does not arrive Wiautomation will process, cancel or refund the order at its discretion. 

    For the products to be ordered (back-order) the number of working days in which the product will be shipped is indicative and may suffer delays that do not depend on WiAutomation, but on the manufacturer / supplier.

    If customers accept the delivery times communicated (for the backorder) by email or wiautomation will have already processed the order automatically, it will no longer be possible to cancel the order by the customer.

    OFFICIAL PURCHASE ORDER

    For companies that don't like to buy online, we accept official purchase orders as well. You can send your official order by email to sales@wiautomation.com

    A member of the financial department will verify the proforma invoice sent by e-mail from the customer which must be previously stamped and signed. With this document, the customer assumes full responsibility in making the payment of the purchase within the terms agreed by the previously received quote, and if this payment is not made within the time agreed between the parties, WiAutomation may request compensation of 30% of the total.



    PAYMENT METHODS

    INVOICING

    All products sold by us are always supplied with commercial invoice.

    We issue commercial and electronic invoices for every order placed through the website or through a purchase order sent by e-mail. The invoice is shipped in a document pocket outside the package containing the ordered products.

    DELIVERY

    WiAutomation ship worldwide by DHL express and by GLS express. Note: for shipping outside the European Community customs fees may be applied. We cannot declare an other value than the purchase price. For companies: Must send to WiAutomation the business name, the registered office address and the VAT id number required for invoicing. In case of storage or delivery the customer is responsible for paying all costs. The delivery time may vary depending on the manufacturer's times. Tracking information will be available when the shipment will left our warehouse. Please note: depending on the operator, the tracking information may not be available until 24 hours after sending the goods. Once your order is shipped, you will receive a confirmation email with the tracking number. WiAutomation after entrusted at shipping courier the package is not responsible for any delivery delay.In any case, the delivery times indicated on the Website or the different ones communicated to the Customer by WiAutomation are indicative, especially when delivery takes place outside Italy, therefore WiAutomation IS NOT RESPONSIBLE FOR ANY DELAYS IN DELIVERY.

    In any case, WiAutomation is not liable for any damage caused by the courier. The Customer is therefore advised to take out appropriate insurance or to contact WiAutomation to find out about the insurance options available.

    The Customer is required to inform himself, independently and under his own responsibility, on the customs duties applicable to the delivery and on the times and formalities for customs clearance of the Products.

    Availability of Products.

    SOME PRODUCTS ARE NOT IMMEDIATELY AVAILABLE OR ARE MANUFACTURED ONLY TO ORDER ("CUSTOMIZED PRODUCTS"), AS SPECIFIED ON THE SITE IN THE PRODUCT PAGE.

    Orders for Customized Products, Products not available at the time of the Order and Digital Content are managed by WIAUTOMATION BY SENDING THE ORDER TO THE MANUFACTURER / SUPPLIER ("BACKORDER"): WIAUTOMATION NOTIFIES THE EXPECTED DELIVERY TIMES TO THE CUSTOMER; also in this case, the delivery times communicated are indicative, unless otherwise agreed between the parties.



    DELIVERY RATES

    Shipping fee include postage and packing. We deliver worldwide by DHL express. In case of your requested product is out of stock (shipping times will be within 2 - 7 working days, except for manufacturer / supplier delays).



    SHIPPING

    The Holder shall deliver to the User, at the address provided, those Products selected and ordered by the User, in accordance with the procedures detailed in the paragraphs above, through a carrier and / or forwarding agents. Delivery will occur according to the timings specified in the order confirmation. Upon receipt, the User must check the conformity of the delivered Products with the order, and only thereafter the User shall proceed with the signing of the documents of delivery, with no prejudice to the right of withdrawal provided for in the clause relating to the “Right to Withdrawal”.The Holder assumes no responsibility for any delay or failure to deliver the goods due to force majeure events, such as accidents, explosions, fires, strikes and / or lockouts, earthquakes, floods and any other event that may prevent, in whole or in part, the performance of the contract within due time. The Holder shall not be liable towards any party or third parties for damages, losses and costs incurred as a result of a failure to perform the contract for the reasons mentioned above.



    GUARANTEE

    The warranty for new and refurbished products is 12 months covered by WiAutomation from the delivery date, the used products are guaranteed for 3 months. If the item is not as described, you will have a full refund including all shipping costs. If the item is lost or damaged in transit will be refunded only in case of insurance. Whenever the User intends to make use of the remedies provided by the legal guarantee provided with the Products, the User shall contact the Holder at the email address info@wiautomation.com. The Holder shall promptly reply to the communication of the alleged lack of conformity and shall indicate to the User the specific procedure to be followed, taking into account the category of goods relating to the Product, and / or the alleged defect. In any case, defects due to transport by courier, improper use or assembly or inadequate storage or maintenance of the Products and degradation resulting from use are excluded from the Warranty.

    At the time of delivery, the Customer is required to verify the conformity of the Product with the Order.

    WIAUTOMATION UNDERTAKES TO REPLACE NON-INTACT OR NON-COMPLIANT PRODUCTS AND REPAIR OR REPLACE PRODUCTS RECOGNIZED AS DEFECTIVE AND COVERED BY THE WARRANTY.

    Returns are accepted only if previously authorized in writing by WiAutomation by sending the relative RMA (Return Material Authorization) code; upon receipt, WiAutomation examines the returns to verify that the Product is the one sold, that the defect exists, is attributable to its responsibility and is covered by the Warranty and, only in this case, replaces the defective Products. The Warranty is the only one provided by WiAutomation and replaces any other warranty, whether written, oral or implicit, except as provided below for the Consumer.

    The report of defects and / or non-conformities of the Products must be communicated to WiAutomation in writing, by email (sales@wiautomation.com), under penalty of forfeiture, (i) within 5 (five) days of delivery in the case of discrepancies of the Product or obvious defects and (ii) within 8 (eight) days of discovery in the case of hidden defects.

    WiAutomation is not an official distributor or representative of the brands on this site. The trademarks and names on this site belong to their respective owners. 

    The product may be of older version or design. The packaging may have markings, signs of discoloration and wear. WIA Warranty: 1 Year. Manufacturer's Warranty and Support NEVER apply.

    Rockwell: WiAutomation is not an authorized dealer of surpluses or affiliate of the manufacturer. Products may have older date codes or be an older series than the one available directly from the factory or authorized dealers. Since WiAutomation is not a rockwell authorized distributor, the original manufacturer's warranty does not apply (the 12-month WiAutomation warranty applies). Some Allen-Bradley PLC products will have the firmware already installed, WiAutomation does not guarantee whether or not a PLC product will have firmware and, if it has firmware, if the firmware is the level of revision that is necessary for its application. WiAutomation also does not warrant the ability or right to download or otherwise obtain firmware for the product from Rockwell, its distributors, or any other source. WiAutomation will not obtain or provide firmware on behalf of the customer. It is customer's obligation to comply with the terms of any End User License Agreement or similar document relating to obtaining or installing the firmware.



    GUARANTEE VOID

    RETURNS POLICY

    No returns of any type will be accepted by WiAutomation if not agreed.

    Exceptionally, on a case-by-case basis and at its own discretion, WiAutomation may recognize the Customer's right to return the Product outside the cases of operation of the Warranty, within 15 (fifteen) days of delivery, by filling in and sending the form ("Return").

    The Return is excluded for Digital Content and customized Products and is always subject to the authorization of WiAutomation which, in case of acceptance, will send instructions and the relative RMA code.

    The Product must be returned within 15 (fifteen) days of WiAutomation's authorization intact and complete with manufacturer's box, packaging materials, manuals, cables and other accessories provided by WiAutomation in the original shipment.

    The Customer will be required to pay charges / expenses quantified by WiAutomation also upon receipt and inspection of the returned Product, by way of example by way of (i) administrative management, (ii) restocking, (iii) technical inspection and testing if necessary to make the Product resalable / reusable, (iv) depreciation of the Product (in particular, in the event that the Product has been unsealed) if resalable only as reconditioned; (v) transport costs, (vi) customs charges, (vii) collection fees, (viii) currency exchange. WiAutomation will make the refund within the term that will be communicated to the Customer from time to time, in any case not exceeding 30 (thirty) days. To withdraw from the contract, the User must contact the Owner at the e-mail address sales@wiautomation.com. The user will receive instructions on how to return the product.

    The Owner will reimburse the User with the same payment method used by the latter.

    The User must return the Products through a courier of his choice and at his own expense, without undue delay and no later than 14 days from the notification of withdrawal sent to the Owner. 

    The User is responsible for the integrity of the Product as long as the good is in his possession and takes all appropriate measures to preserve the product and do everything possible to ensure that the product is returned in the best possible condition, including the original intact packaging, instruction manuals, accessories and any other items and other components. The Product must not have been handled in ways that are not strictly necessary to establish the nature, characteristics and functioning of the Product. The Owner will not consider requests to return the Product in case of malfunction of the returned Product due to improper use, negligence, damage or physical, aesthetic or superficial alterations, tampering or improper maintenance or wear.

    The customer has 14 days to return the product after the return has been granted. WiAutomation reserves the right to refuse any unauthorized returns and those received after 14 days.

    The return once agreed according to the written conditions must be made within the period specified in our warranty terms (on the terms and conditions page), to WiAutomation.

    EXCLUSION OF THE RIGHT OF WITHDRAWAL

    The right of withdrawal is excluded with respect to: supply of sealed products that have been unsealed after delivery; supply of products or services whose price is dependent on financial market variations that the trader is not able to control, which may occur during the withdrawal period. The customer may request the return of products not later than 15 days from the invoice date. WiAutomation will review all requests case by case. If they are granted a return authorization WiAutomation reserves the right to retain a share of 15 % of the purchase price for a used product and 40% for a new product. Returns for non-defective products create discomfort to our company as it might be the only piece in stock . We would find ourselves in the position of not being able to meet the demands of other customers if there are any. Also if we send a new sealed product and will be returned open it will no longer have the same market value. WiAutomation reserves the right to refuse a return that will be delivered in our warehouses not in the same conditions. All products must be returned complete, as received upon delivery. Includes manufacturer's boxes, packing materials, manuals, cables and other accessories provided by WiAutomation in the original shipment. WiAutomation reserves the right to refuse the return of incomplete products or charge a minimum of 15% for returns that were accepted. The customer is responsible for the shipping cost for returns. The customer has the option of ensure material to cover the damage that may have occurred in transit of returns and to use a courier of his choice. The shipping method you choose must have a tracking number in order to give the possibility to have a confirmation of the shipment. WiAutomation is not liable for loss or damage during the transportation of returned products. WiAutomation is not responsible for damage that may occur in transit during the return of the product. In order to minimize the possibility of damage to products in transit, customer must place correctly the product/s, or original manufacturer's box with the product, in a shipping box with packaging material. The customer must ensure that the product is properly protected with bubbles or packing foam. The products must not be shipped without packing. The preferred method by WiAutomation for the products return is to place each product into a single box. If this is not possible, the customer may enter multiple products in the same box as long as the same are protected in its antistatic bag and separated from each other with bubbles or packaging foam to prevent damage to them. The products must not be returned without an accurate protection inside the box. Crushed or damaged shipping boxes should never be used to return the products.

    If the customer is a Consumer, having purchased the Products for purposes unrelated to his business or professional activity, WiAutomation ensures the guarantee provided for by Legislative Decree no. 206/2005 ("Italian Consumer Code", articles 128 and following) for defects and / or defects of the Products for the period of two years from delivery, provided that this is compatible with the nature of the Products,  that can be considered as consumer.

    The Consumer who intends to assert defects in the Products must promptly notify WiAutomation which, once the existence of the defects / defects reported has been assessed, sends the Consumer instructions for the return of the product at no cost and for the replacement or other remedy available.

    The Consumer may exercise the right of withdrawal on the purchase of the Products, provided for in articles 52 and following of the Italian Consumer Code ("Withdrawal"), within 14 (fourteen) days of delivery, by sending notice to WiAutomation and following the instructions published on the Site.

    THE CONSUMER WHO EXERCISES THE WITHDRAWAL: (I) RETURNS THE PRODUCTS AT THEIR OWN EXPENSES TO WIAUTOMATION WITHIN 14 (FOURTEEN) DAYS FROM THE COMMUNICATION OF THE WITHDRAWAL, FOLLOWING THE INSTRUCTIONS OF WIAUTOMATION; (II) ALLOWS THE RETURN COSTS OF THE PRODUCTS SUBJECT TO WITHDRAWAL AND (III) RETURNS THE PRODUCTS INTACT AND SEALED IN THE MANUFACTURER'S BOX, PACKAGING MATERIALS, MANUALS, CABLES AND OTHER ACCESSORIES SUPPLIED BY WIAUTOMATION ORIGINAL IN THE SHIPMENT.

    After verifying that all the above conditions have been met, within 14 (fourteen) days of receipt of the goods, WiAutomation will refund the price paid for the purchase of the Products subject to Withdrawal and returned, using the same payment method chosen by the Consumer for the purchase.

    The refund does not include the costs of delivery and return of the Products, which remain the responsibility of the Consumer.

    WITHDRAWAL IS IN ANY CASE EXCLUDED FOR DIGITAL CONTENT AND CUSTOMIZED PRODUCTS, PURSUANT TO LETTERS O) AND C) OF ARTICLE 59 OF THE ITALIAN CONSUMER CODE.

    ODR platform. Complaint submission.

    Any disputes arising between the Consumer and WiAutomation can be resolved out of court using the service accessible from the new ODR platform, established by Regulation (EU) no. 524/2013. The Consumer can submit a complaint by filling in an electronic form available in the official languages of the European Union, through the ODR platform available on the https://webgate.ec.europa.eu/odr/main/?event=main.home.show&lng=IT website. In any case, for any dispute between the Consumer and WiAutomation, the court of residence or domicile of the Consumer is competent.



    PRODUCTS DAMAGED IN TRANSIT

    If an insured package containing the products purchased from WiAutomation arrives in damaged condition at the customer's address, the customer must refuse delivery by the courier.

    If the customer accepts delivery of the parcel, the customer must: (i) make Note of the damage on the delivery paper of the Courier so that WiAutomation may file a complaint; (ii) keep, as were delivered, the products, the original box and packing material received; and (iii) promptly notify WiAutomation by contacting customer service via email at sales@wiautomation.com to arrange an inspection of the courier and the removal of damaged products. If the customer does not note the damage and keep the products received, the original box, packing and does not notify to WiAutomation within 5 days of delivery acceptance, WiAutomation will be deemed to have been accepted the products as if they arrived intact and will be applied a regular right of withdrawal by WiAutomation.



    REPAIR SERVICE

    Our technical team is able to repair your faulty parts in a short time. After agreeing on the price and time necessary for the repair, we will organize parts withdrawal quickly and free of charge with our DHL express courier in any country of the world. We always guarantee very short times and the best market prices for all repairs. For most repairs we need a maximum of 1-5 days. If part is unrepairable, we will exchange with a working unit.



    REFUNDS

    The returned item will be carefully reviewed and if the goods state that we will receive like as shipped by WiAutomation a refund will be issued. The refund will be done after 5 working days from receipt of the goods. You will receive an e-mail notification.



    JURISDICTION

    All parties agree irrevocably that the General conditions of sale and the obligations deriving from it are entirely subject to Italian law, even if partly abroad and in particular as regards the relationship with the consumer, regulation and discipline contained in the code of consumption referred to in Legislative Decree n. 206 6.9.2005 with specific reference to the rules on distance contracts and in April 9, 2003 Legislative Decree n. 70, in electronic commerce, as well as in the civil code. Also, for any dispute arising from this contract is established jurisdiction, the jurisdiction of the registered office of Parcop s.r.l.. For all disputes arising from the Contracts between the non-consumer Customer and WiAutomation, the Court of Naples North in Aversa, Italy, is competent.

    Invitation

    WiAutomation undertakes, in any case, to seek an amicable settlement of the dispute and invites Customers, before using the judicial and extrajudicial tools provided for above, to send an email to the following e-mail address: sales@wiautomation.com.

    Applicable law

    These Conditions as well as all sales contracts of which WiAutomation is a party are governed exclusively by Italian law.



    USER GENERATED CONTENT

    The User may upload content or information on the Website (hereinafter the “Contents” or individually the “Content”), provided that the Content is not illegal (that is: obscene, threatening, defamatory, pornographic, abusive, or in any way illegal, or violates the privacy, intellectual property and / or industrial rights of the Holder and / or of third parties) or does not otherwise harm the Holder and / or third parties, or is not regrettable or at least does not contain viruses, political campaigning, commercial solicitation, mass e-mails or any other form of spam. The Holder, though not able to ensure tight control of the Contents received, reserves the right to delete, move, and edit those Contents that, upon its discretion, appear abusive, defamatory, obscene or in breach of copyright and trademarks, and in any case unacceptable for the Holder. It is forbidden to use an email address that is not in the User’s ownership, use the personal data and credentials of other Users in order to take possession of the latter’s identity, or otherwise misrepresent the origin of the Contents. Users undertake not to use violent terms or terms that discriminate on the basis of race, religion, gender, sexual orientation, physical or mental disability, and more. The use of violent language will lead to immediate suspension and expulsion from the Website. Unless granted with an express authorisation, the User must refrain from disseminating or distributing through any means Content that contains any kind of commercial offers. Users acknowledge and accept that any Content uploaded to interact with the Website (for instance, in order to post comments, express opinions, participate in surveys and initiatives, send pictures or videos or audio files) can be amended, removed, published by the Holder. The User grants the Holder with an unlimited right, free from geographical restrictions, of non-exclusive use on the Content. The Holder may, therefore, directly or through third parties of its choice, use, copy, transmit, extract, publish, distribute, publicly perform, distribute, create derivative works of, host, index, store, record, encode, modify and adapt (including the unlimited right to adapt for the transmission by any means of communication) in any form or by any means now known or to be invented in the future, every Content (including images, messages, also video and audio messages) uploaded by the User, even through third parties. With regard to the Content, the User waives any economic or moral copyright also with respect to the changes made by the Holder to such Content, even in case such changes are not appreciated or accepted by the same author. The Content uploaded will not be returned and will remain property of the Holder who is therefore exempted from any responsibility to the Users for the loss or destruction of such Content. The User ensures that the Contents are sent to the website through his personal account and exclusively by adults. For minors, the Content must be screened and approved by those exercising parental authority.



    INDUSTRIAL AND INTELLECTUAL PROPERTY RIGHTS

    The Holder declares to be the holder and / or licensee of all intellectual property rights related and / or referring to the Website and / or the materials and contents available on the Website. The User may solely use the Website and the materials and contents included therein for personal, and non-commercial purposes. These Terms do not grant the User any license to use the Website and / or the individual contents and / or the materials available therein.     The User agrees to indemnify and hold harmless the Holder (as well as any company or subsidiary, including its representatives, associates, consultants, directors, agents, licensees, partners and employees) from any obligation or responsibility, including any legal expenses incurred for trial defence, that may arise from damage caused to other Users or third parties, concerning any Content uploaded online, any violation of the law or any terms of the present Terms. Therefore, the Holder shall not be liable for: 1. any losses that are not direct consequence of a breach of the contract by the Holder; 2. any loss of business opportunity and any other loss, either direct or indirect, which may be incurred by the User (such as, but not limited to, trading losses, loss of revenue, income, profits or anticipated savings, loss of business contracts or relationships, loss of reputation or goodwill, etc.); 3. damages or losses resulting from interruptions or malfunctions of the Website due to events of force majeure, or due to any accidental and unpredictable events which are, in any case, independent of the will and beyond the Holder’s control, such as, but not limited to, failure or disruptions to telephone or electrical lines, the Internet and / or to other means of communication, unavailability of websites, strikes, natural disasters, viruses and cyber attacks, interruptions in the provision of products, services or Websites by third parties; 4. incorrect or unsuitable use of the Website by Users or third parties; 5. the issuing of false tax documents due to mistaken details provided by the User, the latter having exclusive responsibility for the correct entry of such details Under no circumstances will the cap on the Holder’s liability exceed double the cost paid by the User for the service purchased.

    WAIVER

    No waiver, by either parties to an article of the present Terms, shall be effective unless it is expressly stated to constitute a waiver and is communicated in writing.



    SEVERABILITY

    If any of the provisions contained herein shall result unlawful or invalid, it will not be considered any more as part of the Terms, without affecting the enforceability of the remaining provisions, which will continue to be valid to the fullest extent permitted by law.



    AMENDMENTS

    The Holder reserves the right to amend, at any time, these Terms by giving specific notice on the Website. The User acknowledges and agrees that any amendments to these Terms will apply to the orders placed by the Users after the date of notice of such amendments.



    GOVERNING LAW AND PLACE OF JURISDICTION

    These Terms and any dispute concerning the interpretation, performance, validity of this contract shall be submitted to the exclusive jurisdiction of the Court where the Holder has its registered office. If the User is a consumer as defined under Article 3 of the Consumer Code, the judge of the place of residence or domicile of the consumer, if located in the territory of the Italian State, has mandatory territorial jurisdiction, with no prejudice to the consumer User’s entitlement to bring proceedings in courts other than the “place of jurisdiction of the consumer” pursuant to Article 63 of the Consumer Code, in charge for the area according to one of the criteria set out in Articles 18, 19 and 20 of the “Codice Processuale Civile” (“Civil Procedure Code”).

    Welcome to Vision Automation SA. These Terms and Conditions govern your access to and use of our e-commerce website, as well as the purchase of products and services offered. Our registered company name is Vision Automation SA, located at Via General Guisan 8a, 6900 Paradiso (CH), with VAT ID CHE­289.355.262., (also merely as the “Seller”).

    CONDITIONS OF USE

    1. Vision Automation SA is the owner of the wiautomation.com website, which may not be reproduced in whole or in part, transferred by electronic or conventional means, modified, linked and used without the prior consent of Vision Automation SA
    2. Vision Automation SA does not act as authorized Reseller of the products present on the website or subject to quotation. Therefore, the products may have codes with an older date or belong to an earlier production than that available from the official manufacturer and/or authorized dealers. Any production years and/or specific versions must be indicated when ordering.
    3. All brands, logos, names of suppliers and services mentioned are trademarks belonging to their respective companies and are property of their respective right owners.     6. The Seller accepts orders from Customers who are both consumers and customers who are not consumers. Consumer is any natural person acting for purposes unrelated to any entrepreneurial, commercial, professional or craft activity carried out. The entry of the Sales Tax Number during the purchase procedure is considered an indication that the purchase was made for purposes related to the entrepreneurial, commercial, craft or professional activity carried out.
    7. If one or more sales are made to a party who does not qualify as a Consumer, these general terms and conditions of sale and the Swiss Code of Obligations shall apply, since the protections provided in favour of the Consumer, which reflect or comply with mandatory provisions of law, shall not be effective towards that party;

    GENERAL CONDITIONS OF SALE

    • 1- SUBJECT
    1. The purpose of this Contract is to define the contractual conditions applied to the sale in the mode of electronic commerce that has as its object exclusively the products offered and made available by the Seller on the site www.wiautomation.com in favour of both Customers who hold the status of Consumers and Customers who do not hold that status.
    2. The Customer may purchase exclusively the products displayed on the site at the time of browsing. It should be noted that the picture accompanying the descriptive sheet of a product has a purely illustrative function and may not be exactly representative of its characteristics but may differ in colour, size or in relation to any accessory products in the picture due to the settings of computer systems or devices used by Customers. Therefore, for the purposes of the purchase contract, the description of the Product contained in the description sheet/product and, subsequently, in the order form transmitted by the Customer shall be deemed authoritative.
    3. The contract is executed towards the Customer identified by the data entered in the order form that is transmitted electronically upon acceptance of these General Conditions of Sale.
    4. Products sold on the site can be delivered in the national territory and in the countries specifically listed on the site (when the country of shipment is chosen). In the case of choosing delivery to the user or other person indicated by the user in the purchase flow, the inclusion of shipping addresses outside the countries specifically listed on the site invalidates the purchase process and the contract is not concluded.
    5. NEW Products are supplied in the original manufacturer's box, unless the product is obsolete and/or not available on the market. They are supplied with documentation and accessories normally supplied by the manufacturer. The products are supplied with the WiAutomation guarantee.
      Note: Products may be an older series or version than those available from the manufacturer. The packaging may be opened, have scratches, wear, numbers, discoloration and notes made by the previous owner.
      REFURBISHED ​​Products that have been completely refurbished and all key serviceable components have been replaced with new ones. The products have been cleaned and tested. They come with the WiAutomation warranty.

      Note: Products may be an earlier series or version than those available from the manufacturer.
    • 2 - PURCHASING PROCESS
    1. It is possible to make the purchase through the website https://www.wiautomation.com/ or offline.

      Regarding the latter option, it is possible, in fact:
      a) to make, through a special form ("quick quote"), present on the website, at the URL
      https://www.wiautomation.com/quotation-request , a specific request for a quotation, in relation also to products that cannot be purchased or are not visible online, entering all the relevant details (by example, company name, email, product code, brand and quantity required);
      b) receive the so-called "quick quotation" by contacting the number present at the above URL. After that, the negotiation will continue offline and the contract will be considered concluded with the receipt by Vision Automation SA of the order confirmation duly signed by the buyer and sent through official channels (email, or in the additional ways that may be specified on the site). Even in the case of offline purchase, these terms and conditions of sale will apply, and they will be attached or recalled to each quotation and duly accepted with appropriate signature. It is possible that the prices in the quotation differ from those online, due to variables such as, but not limited to, type of product, quantity and availability of the same.
    2. Regarding online purchasing, it is not required to register to make purchases. Accordingly, the Customer may opt to make purchases on the Seller's website as a Registered User or as an Unregistered User. Registration avoids the need to enter address and shipping information each time a purchase is made on the Site.
    3. If the Customer is registered, its billing and delivery information will be displayed automatically and can be changed as needed. If the Customer is not registered, he/she is required to enter this data with each purchase.
    4. Following the placement of one or more products in the shopping cart, the Customer will see a summary of the details and may choose to continue with the confirmation of the order. Subsequently, to finalize the contract and definitively transmit the order, the Customer is asked, on a single page, to enter the information regarding the delivery address (which may differ from the billing address) and the payment method along with the relevant data. After that, following the Customer's confirmation of the order summary ("buy" button), the Seller processes payment for the order.
    5. Correct receipt of the order is confirmed by the Seller through a confirmation notice by e-mail, sent to the e-mail address provided by the Customer when completing the order form. From this moment on, the contract between Seller and Customer is finalized. This e-mail message contains the date and time of receipt of the order, a 'Customer Order Number', to be used in any further communication with the Seller, the link to the page of the site containing the 'Terms and Conditions' of Sale accepted by the Customer, the strictly necessary information to summarize the essential characteristics of the product purchased, an indication of the price, the means of payment used, delivery charges and any additional costs. The message also repeats all the data entered by the Customer at the time of confirmation of the order, which is committed to verify the correctness and promptly communicate any corrections by email to the addresses indicated above and present at the URL https://www.wiautomation.com/contact-us or through live chat present at the same URL.
    6. The Customer, if registered, can check the status of the order by going to the web area dedicated to it under "My Orders".
    7. The Seller must be enabled to request more information by e-mail or telephone, especially in order to properly fulfil contractual obligations. Therefore, it is the Customer's obligation to enter real data in the order form.
    8. The Seller reserves the right not to fulfil purchase orders that do not give sufficient guarantees of solvency, or that are incomplete and incorrect. In such cases, the Seller undertakes to promptly notify the Customer. In case of order form submission and payment of the price, the Seller shall refund the amount already advanced.
    • 3 - AVAILABILITY AND CANCELLATION OF THE ORDER
    1. All product orders are subject to product availability. The Site is constantly and automatically updated in order to ensure maximum correspondence between the Seller's availability and the availability indicated on the Site.
    2. The site does not display the quantities of product available at the time of the order, as the simultaneous access of many user-customers, the simultaneous possibility of "offline" orders as well as the variable quantity of each product that depend on the supplying company, change the availability of the products, the Seller does not guarantee the certainty of allocation of the ordered goods.
    3. For certain products, which are subject to price promotions, the Seller reserves the right to accept orders by reducing their quantities, subject to prior notice and acceptance by the Customer, failing which the order shall be deemed canceled.
    4. The Seller may cancel the order in case of product unavailability. In such cases, they shall inform the Customer by e-mail that the contract is not concluded and that the Seller has not followed up the order stating the reasons. In such cases, the Seller proposes, before proceeding to refund, replacement with similar product or other available solution (surplus rush service, product under other conditions) as a solution which must always be expressly accepted by the Customer. In case of non-acceptance of the replacement product, the amount previously committed to the Customer's means of payment is refunded. Notice of the refund is given by e-mail.
    5. In any case of cancellation of the order by the Seller, therefore for any reason whatsoever, it is intended that the Seller cannot be held liable for any damages arising from the cancellation.
    6. The order may also be canceled as a result of the Customer's request to be sent to the email address info@wiautomation.com preventively evaluated and approved by the Seller - without charge in the only cases in which the latter has not initiated the order preparation, found via the "my orders" section or through email communication of initiation of the order preparation. The refund of the price paid shall be made in accordance with the instructions to be provided, from time to time, by the Seller.
    7. In the event that the conditions for cancellation referred to in the preceding points do not apply, the cancellation may still be requested by the Customer, upon confirmation of Vision Automation SA against payment of the (i) administrative management fee, (ii) the cost of purchasing back-order components, (iii) transport costs, (iv) customs charges, (v) collection and currency exchange fees possibly already borne by Vision Automation SA in relation to the canceled order, of a possible penalty equal to 40% on the value of the products subject to the request for cancellation, plus an additional decrease in value in the case of returning goods with conditions different from those in which they were sold. The total costs will be communicated to the Customer following the cancellation request. The cancellation will become effective upon the Customer's express confirmation of the costs communicated by Vision Automation SA In the absence of acknowledgement no later than 72 hours (effective), the confirmation of cancellation will be considered to have been tacitly provided. Any cost for the return shipment of the canceled order shall be borne by the customer and must always be made by trackable shipment and must always be insured in case the value of the goods exceeds € 500.


    • 4 - PRICES AND PAYMENTS
    1. All posted prices exclude the due Sales Tax. In the case of purchases made as a Consumer, the Sales Tax of the destination country will be paid, which will then be recalculated again before payment is made; while the Customer who does not hold the status of Consumer, the Sales Tax will not be charged. Once the order has passed into "shipped" status, it will not be possible to claim the Sales Tax refund through a change in billing information (the change in billing header cannot be retroactive for the purpose of applying or eliminating the Sales Tax).
    2. The Seller may change the selling prices of the Products at any time without prior notice and without any need for justification and specification.
    3. If a clearly erroneous and/or paltry price is posted, for whatever reason (systems error, human error, etc.), the order is canceled, even in case of initial validation.
    4. The validity of prices is always and only the one indicated in the order confirmation which is sent to the Customer following the submission of the order.
    5. The prices of the Products shown in the individual product sheet do not include shipping costs that are, instead, always displayed in the order summary at the moment of adding the product to the cart and in any case before the request for confirmation from the Customer. Shipping costs can be changed at any time by the Seller, but changes are not applied to orders already sent and accepted.
    6. For orders outside the EU, the Customer may be subject to import duties and/or taxes, payable once the products have reached the specified destination and, therefore, cannot be quantified or in any way determined by the Seller. Such costs shall be borne by the Customer and cannot be refunded by the Seller under any circumstances. The amount of international duties and/or taxes charged by the country of destination cannot invalidate this contract or constitute grounds for termination by the Customer, who will be made aware of the presence of additional and undetermined costs at the time of payment or, more precisely, at the time of selection of the country of destination at the check-out stage.
    7. All purchases made on the site are secure, since they are guaranteed by SSL certification and respective HTTPS protocol. The proposed payment methods involve only multi-referenced circuits.
    8. The Customer may make payment via PayPal, via credit card through PayPal, via bank transfer, via credit/debit card through Stripe, as indicated in the purchase procedure. It is intended that the Seller remains uninvolved in the contractual arrangements that the Customer undertakes with payment companies. In addition, the Customer warrants to the Seller that he/she has the necessary authorizations to use the payment method chosen for the order at the time of the placing.
    9. All orders are payable in the currency indicated in the product page, including taxes and mandatory contributions. Bank charges are the sole responsibility of the Customer, even in the event of a refund.

    11. Under no circumstances, therefore, can the Seller be held liable for any fraudulent and improper use of credit and prepaid cards by third parties
    12. For each placed order, and if the Customer has made an express request to do so by ticking the appropriate box on the order submission form and has provided the necessary details (valid Sales Tax Number), the Seller shall issue an invoice for the shipped order, sending it by electronic mail to the Customer in whose name the order was placed. For the details given when issuing the invoice, the information provided by the Customer at the time of order processing shall apply. No change to the invoice is possible at any time after the invoice is issued in electronic format.
    13. For Customers who have already successfully concluded at least 3 orders with Vision Automation SA, the Seller may reserve, at their discretion and upon agreement between the parties, the payment of the amount of the new and additional order in an alternative mode than the advance payment (e.g. payment 30 days after the order, payment when the goods are ready to ship... etc).

    • 5 - MODE OF PROCESSING, DELIVERY AND ENFORCEMENT OF PENALTY
    1. The Seller can only accept orders with a delivery to the countries included within the site indicated at this URL https://www.wiautomation.com/
    2. Purchased products may be delivered to the address indicated by the Customer in the order by the date indicated in such Shipping Confirmation.
    3. Delivery periods for the ordered products are purely indicative, as they may be subject to variations due to force majeure or to traffic conditions and road conditions in general or may be subject to the act of the Authority, as well as to delays attributable to the carrier and/or the company supplying the products. No responsibility can therefore be attributed to the Seller in case of delay in the processing of the order or in the delivery of the goods. The approximate delivery time for goods in "In Stock" status is usually 1 to 10 business days.
      Indicative delivery times for goods "Available on Order" range up to 10 weeks, in alternative case notification of delivery time will be made via e-mail. Cancellation of an "Available on Order" order occurs as in section 3.4 of this documentation, "Availability and Order Cancellation." Delivery times are subject to change depending on delays on production by the manufacturer or delays on processing by the supplier.
    4. The products are shipped with packaging made by the Seller which varies depending on the products ordered, the number of products and their weight/volume.
    5. Unless otherwise specified in the order summary prior to purchase, shipping charges, where applicable, are the responsibility of the Customer and detailed prior to payment. The Seller reserves the right to change shipping policies at any time and give appropriate notice to the above URL. The Customer pays for the goods using the method chosen when placing the order.
    6. The delivery shall be deemed to have taken place, or the order delivered, by means of the acquisition by the Customer or the addressee of the order other than the Customer or, in any case, by a third party indicated by it or forming part of its company who qualifies as such at the time of receipt of the goods (ex multis, employee, collaborator, etc.) of the material availability of the product which is proven by the signing (by one of the aforementioned parties) of the receipt of the order at the agreed shipping address. Once the declaration of the person to whom the goods are entrusted/delivered is acquired, no liability in connection with the non-receipt of the same can be attributed to the Seller.
    7. It is the responsibility of the Customer - or the aforementioned parties - to make themselves available throughout the course of the day on the specified dates to collect the products from the address specified at the time of purchase.
    8. If at the passage of the courier on the days and/or time slots indicated, the Customer - or whoever for it or the recipient of the products - was not present, the courier makes no. 2 (two) delivery attempts following the first (unsuccessful) attempt. If it fails to deliver the products despite the three attempts made, it will arrange for the practice of storage. The goods may be held in storage for up to 7 working days at no additional cost for the Customer. Failure to withdraw the products at the end of this period will result in the cancellation of the order by the Seller and the refund of the full amount previously paid, less the costs of the unsuccessful delivery, the costs of returning the goods to the Seller and any other costs incurred from the day after the day on which the courier left notice of attempted delivery. The termination of the contract, the amount of the refund and the deducted expenses are communicated to the Customer by e-mail to the address entered at the time of the order.
    9. Upon delivery of the products, the Customer is required to check:
      - that the number of packages being delivered corresponds to what is stated in the transport document;
      - that the packaging is intact, undamaged, or otherwise altered and with intact seals.
    10. Any external damage or any mismatch in the number of packages must be immediately objected to by the delivering courier by marking "withdrawal with reservation". In the specific case of a damaged package, the following must be noted on the courier's waybill: "withdrawal with reservation as the package is damaged".
    11. Once the courier's document has been signed, the Customer may not object in any way to the external characteristics of what has been delivered.
    12. In the event that the Customer provides an incorrect shipping address, the order will be delayed and additional shipping and handling charges will be assessed for returned or re-addressed orders. It is not possible, in such a case, to request a refund.
    • 6 - REVIEWS
    1. The Customer who purchases one or more products will have the opportunity to evaluate the product, after receiving it, by leaving a review ("Review"). The Review must be about the product received and not about the services (e.g. delivery) and will be posted under a pseudonym chosen by the Customer.
    2. The Customer warrants that any information, messages, text, data, made available on the Seller's site via Review is original and does not violate any third party's rights, including but not limited to copyright, intellectual property rights.
    3. The Customer acknowledges that he/she is the author and is solely responsible for any and all Reviews transmitted, disclosed, exchanged or otherwise made available by it to Seller and agrees to indemnify and hold Seller harmless from any third-party claims and/or demands arising from its Reviews.
    4. The Customer agrees not to disclose and "post" Reviews containing sensitive data, as well as enter/post content of a pedo-pornographic, pornographic, obscene, blasphemous, defamatory, offensive, contrary to public order or morality, promoting or inducing illegal activities or containing viruses or other software damaging the functionality of others' computer systems.
    5. The Seller declares that it does not, in any case, perform editorial control over the Reviews and does not perform any activity of control over the lawfulness, truthfulness, substantiation, accuracy, non-deceptiveness, and non-offensiveness of the Reviews. In any event, the Seller reserves the right to reject and/or delete Reviews not deemed suitable at its discretion.
    6. The Seller disclaims any liability for damages, claims or losses, direct or indirect, arising to Customer or third parties from the transmission, disclosure, exchange or making available of Reviews provided by Customer.
    7. The Customer who accesses the Site declares that he/she is aware of the possibility that the Reviews may have content deemed by it to be inappropriate or that may offend the sensibilities of certain persons, and in any case acknowledges that the responsibility for the Reviews does not lie with the Seller but with their respective authors.

    • 7 - RIGHT OF WITHDRAWAL
    1. In application of the provisions of the Uniform Commercial Code, unless otherwise specified by the regulations of the State of residence of the Consumer Customer, for products of the Seller and purchased by the Customer who holds the status of Consumer (the one who purchases as Private individual, without therefore entering a Sales Tax Number) – there is a right of withdrawal within 14 days from the delivery of the products. For customers purchasing as a Company or Individual Firm, the right of withdrawal is never enforceable.

    • 8 - LEGAL GUARANTEE OF CONFORMITY AND SELLER'S LIABILITY
    1. Among the obligations of the seller in addition to delivering the goods to the buyer and making him acquire ownership of the goods/rights sold, there is also the obligation to guarantee the buyer against eviction and defects in the property.
    2. Pursuant to these Terms and Conditions, the manufacturer's guarantee of the purchased goods does not apply, as Vision Automation SA does not have the status of an authorized reseller.
    3. The Legal Guarantee - which is held by WiAutomation as seller - guarantees the goods against defects in conformity (defects that make it unsuitable for the use for which it is intended or appreciably reduce its value) with respect to the sales contract.
    4. The product warranty regime differs depending on whether the buyer is a "consumer" (hereinafter also "B2C") or a "professional" (hereinafter also "B2B")..
    5. In the event of a purchase by a Customer who does not have the status of Consumer - an individual acting for personal or private purposes- the provisions of these terms and conditions (and the Swiss code of obligations) shall apply. In B2B sales, if the goods sold present defects of conformity, the seller will restore the conformity of the goods without charge through repair or replacement (primary remedies) or, if this is not possible, through a reduction in the purchase price or the resolution of the contract (secondary remedies). Apparent defects must be reported immediately after inspection (or within 7 days from the delivery of the products). Hidden defects must be reported immediately upon discovery (or within 7 days from discovery). Failure to notify the Seller of defects within the specified timeframes will result in the Buyer forfeiting their warranty rights. Any legal action related to defective products must be initiated within 12 months from the date of delivery of the products. After this period, all claims related to warranty or defects shall be deemed time-barred.
    6. In the case of purchase by a Customer who holds the status of Consumer, the legal guarantee lasts for two years from delivery of the goods and the action of the consumer aimed at asserting the defects (not maliciously hidden by the seller) is barred, in any case, within 26 months of delivery. In the event of receipt of an incorrect product compared to what was ordered (to be understood only the case in which the error is attributable to the Seller) or damaged (for reasons attributable to the Seller or the courier) or altered or, in general, non-compliant, the Customer who holds the status of Consumer has the burden of reporting such errors and defects within 26 months of delivery the lack of conformity communicated by the Consumer is presumed to exist within one year from the date of delivery of the product, unless proof to the contrary is provided by the Seller of the incompatibility of the defect with the nature of the goods or with the nature of the defect of conformity. This paragraph also applies to goods with digital elements. The Seller, if the goods sold present defects of conformity, will restore the conformity of the goods without charge through repair or replacement (primary remedy) or, if this is not possible, a reduction in the purchase price or termination of the contract (secondary remedies). The Customer always has the burden of attaching, to the return email, for the consumer or, to the return form, for the company, appropriate photographic and/or videographic documentation in support from which the error or vice.
    7. Refurbished and used products are covered by the same legal guarantee applied to new products. However, it is specified that, due to the characteristics of reconditioned and/or used products, any aesthetic and non-functional defects, such as scratches, signs of wear, lack of accessories not essential for the functioning of the product, will not be covered by the legal guarantee. The Customer who purchases the reconditioned and/or used product, that is, aware of the product purchased, in all its characteristics, cannot claim as a lack of conformity what is inherent to the product itself and accurately described.
    8. In any case, the Customer has the burden of attaching, to the return email, for the consumer or, to the return form, for the company, appropriate photographic and/or video documentation from which the error or flaw is clearly evident.
    9. This is without prejudice to the additional conventional warranty granted by the Seller for refurbished products, for a duration of up to 12 (twelve) months from purchase, where provided for and, therefore, specified in the relevant product sheet.
    10. In the case of goods bearing digital elements, in the contractual relationship between the seller and the consumer (B2C), the seller is bound to keep the consumer aware of available updates, including security updates, necessary for the purpose of maintaining the conformity of such goods, and to provide them to the consumer, in the period of time:

      a) that the consumer can reasonably expect, given the type and purpose of the goods and digital elements, and taking into account the circumstances and nature of the contract, if the sales contract provides for a single act of supply of the digital content or digital service;

      or

      b) if the sales contract provides for a continuous supply of the digital content or digital service over a period of time.
    11. If the consumer does not install the provided updates within a reasonable period of time, the seller shall not be liable for any lack of conformity resulting solely from the lack of the relevant update, except in the cases provided for in (a) and (b) of this Article, paragraph 2.
    12. There is no lack of conformity if, at the time of the conclusion of the sales contract, the consumer was specifically informed that a particular characteristic of the goods deviated from the objective conformity requirements set forth in these standards, and the consumer expressly and separately accepted this deviation at the time of the conclusion of the sales contract.
    13. In any case, for goods bearing digital elements - such as but not limited to Siemens PLC products - Vision Automation SA does not guarantee the presence of any firmware or any necessary level of firmware, nor can it otherwise provide it. Therefore, in such cases, no liability whatsoever can be attributed to Vision Automation SA It is the Customer's obligation to abide by the terms of any License Agreement relating to obtaining or installing firmware where present. Following the receipt of the email and/or form and related documentation, the Seller evaluates the error, flaws and any non-conformity reported by the Customer and decides whether to authorize the return of the Products by providing a feedback via email, containing the "Return Code," to the address provided during the transmission of the order.
    14. The authorization to return the products does not in any way constitute recognition of defects or non-conformities, the existence of which must be ascertained following the return through inspection and technical analysis of the product/products which: must be carried out by the Seller within a reasonable time from the arrival of the goods in the warehouses, taking into account the degree of complexity of the intervention/analysis and the type of product.
    15. To this purpose, therefore, the Customer is urged not to handle the product beyond what is strictly necessary and must wrap the original packaging of the products with other protective packaging that preserves their integrity and protects them during transport even from writing or labeling;
    16. The products, of which the Seller authorizes the return for the aforementioned reasons, must be returned by the Customer through a carrier with traceable shipment and, in case of a value exceeding € 500, always insured, together with a copy of the return authorization notice bearing the "Return Code", to the following address: Via Giulio Cesare 107, 80070 Bacoli (NA) - Italy, within:
      -15 (fifteen) days from the reporting of the flaw or non-conformity
    17. Once the products have been received, the Seller will examine the returned units to verify that:
      - the product is actually the one sold;
      - the defect complained of actually exists;
      - the defect is attributable to his own responsibility.
    18. Upon completion of the inspection and technical analysis, the Seller will communicate the possible remedies to the Buyer, as regulated in these general conditions of sale. Only in the event of termination of the contract, the amount previously charged on the Customer's means of payment will be refunded. Any refund of the price paid and the related shipping costs is made, where possible, using the same payment method used by the Customer when purchasing the Product. Otherwise, the Customer is requested to provide the IBAN code of their bank account so that the Seller can execute, by means of bank transfer, the relevant refund.
    19. In the event that, as a result of the inspection checks, tampering with the product or in the non-existence of defects of conformity should emerge, the Seller will not apply the guarantee and will promptly communicate this decision to the Customer inviting him to collect the product at his own expense in a reasonable deadline, with express warning that the product for which the guarantee does not apply, if not collected within the deadline indicated by the Seller, will be decommissioned or disposed of, with all expenses incurred being charged (by way of example and not limited to, logistics costs , technical analysis costs, disposal management costs, administrative costs) by the Seller.
    • 9 - EXPRESS TERMINATION CLAUSE
    1. The Seller has the right to resolve the contract entered into by simply notifying the Customer and stating its reasons; in this case, the Customer is entitled solely to the return of any amount already paid with no further claim whatsoever.
    2. The obligations assumed by the Customer, as well as the guarantee of the successful completion of the payment that the Customer makes by means referred to in Article 4, are essential in nature, so that by express agreement, the failure by the Customer to perform the services underlying the execution of the contract and the quality of the service (ex multis, conduct that hinders or does not facilitate the shipment of products by the Seller) may result in the termination of the contract without prejudice to the right for the Seller to take legal action for compensation for further damage.

    • 10 - LIMITATION OF LIABILITY
    1. The Seller, in the event that they fail to execute the order in the time stipulated in these general terms and conditions of sale, shall not assume any liability if the non-performance or defective performance results from inefficiency due to the act of a third party, the fault of the Customer or attributable to force majeure or fortuitous event or any other event that is not under the direct and exclusive control of the Seller (including, but not limited to, catastrophic natural events, acts of terrorism, wars, popular uprisings, power failure, general strike of public and/or private workers, strikes and/or restrictions on courier and airline routes, holiday periods (e.g. Christmas season), delays or lack of production of the products by the supplier).
    2. The Seller is also not responsible in cases in which the defect that caused the damage did not exist when the Seller put the product on sale and when the state of scientific and technical knowledge at the time in which the Seller put the product into circulation, it still did not allow the product to be considered defective.
    3. The Seller shall in no way be liable for any damages, caused to the Customer or third parties, resulting from improper use of the products.
    4. The Seller is in no way responsible for the misuse and/or disclosure to third parties of the Customer's registration/log-in information.
    5. The Seller shall accept no liability for any direct or indirect damages, whether foreseeable or not, resulting from and/or related to the Customer's use of the Site. If Seller is held liable for an injury suffered by Customer and attributable solely to the transmission of an order, such liability shall be limited to the amount of the order actually paid by the Customer to the Seller.
    6. The Seller accepts no liability for any fraudulent and unlawful use of credit cards and other means of payment that may be made by third parties, when payment is made for the Products purchased, if it can prove that it has taken all possible precautions in accordance with the best available technology and experience at the time and in accordance with ordinary diligence.
    • 11 - ONLINE DISPUTE RESOLUTION
    1.     • 12 - JURISDICTION AND COURT OF LAW
    1. These General Conditions of Sale are ruled by Swiss law and shall be interpreted in accordance to it, without prejudice to any different prevailing mandatory rule of the Customer's country of habitual residence if the latter is qualified as a Consumer.
    2. For any dispute arising from the application, execution and interpretation of these General Conditions of Sale, the Court of Lugano shall have exclusive jurisdiction if the Customer has made the purchase for purposes related to entrepreneurial, commercial, professional or craft activity.
    3. For any dispute arising between the Consumer and the Seller, the State of residence of the Consumer and the court in whose district the Consumer has its residence or domicile shall have jurisdiction.
